1. Introduction and Acceptance
Welcome to RESTRO-VENDS ("Platform", "we", "us", or "our"), a web-based inventory and order management platform designed to connect restaurants with suppliers and vendors of restaurant supplies, including meat, vegetables, fruits, spices, dairy products, cutlery, and other business essentials. These Terms and Conditions ("Terms") govern access to and use of the RESTRO-VENDS website, web application, related services, and associated features. By registering an account, accessing the Platform, selecting the acceptance checkbox, purchasing a subscription, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not register for or use the Platform. If you accept these Terms on behalf of a business, you represent that you are authorised to bind that business.
2. Definitions
Platform means the RESTRO-VENDS website, web application, and related services. Restaurant means a registered business managing inventory and ordering supplies. Vendor means a registered supplier receiving and fulfilling restaurant orders. User means any authorised individual accessing the Platform. Account means a registered restaurant or vendor profile. Operator means a person authorised by a restaurant to perform permitted activities. Services means the Platform's software and functionality. Order means a request submitted by a restaurant to one or more vendors. Subscription means a paid plan. Business Documents means FSSAI licences, trade licences, permits, and supporting documents. Content means information submitted or displayed through the Platform.
3. Eligibility and Business Use
The Platform is intended primarily for legitimate business use. You must be legally capable of entering into a binding agreement and have authority to represent your business. You must provide accurate, current, complete, and lawful information. You must not create an account using a false identity or another business's documents without authorisation. RESTRO-VENDS may refuse, suspend, or restrict an account where eligibility, identity, legitimacy, or compliance cannot be established, subject to applicable law.
4. Account Registration and Verification
Users must complete the applicable registration for their account type and may be required to provide business name, address, authorised person's name, mobile number, email where applicable, registration details, and documents. Restaurants must submit FSSAI licence/registration details (number, issue date, expiry date, document). Vendors must provide applicable licences, registrations, and permits. Mobile OTP verification may be required. Users are responsible for ensuring documents are genuine, valid, and current. RESTRO-VENDS may review, request more information, and approve/reject/resubmit documents. Registration does not guarantee approval or access to every feature. A verification badge reflects only RESTRO-VENDS' stated process and is not a guarantee of quality, solvency, food safety, or future conduct.
5. Account Security and User Responsibilities
Keep login credentials, OTPs, and account access secure. Do not share OTPs with unauthorised individuals. Notify us promptly of suspected unauthorised access, misuse, fraud, or a security incident. Users are responsible for activities performed through their accounts, subject to applicable law. Keep registered mobile numbers accessible and account information updated. RESTRO-VENDS may implement authentication controls, session management, and other reasonable security measures.
6. Restaurant Owners and Operators
The restaurant account owner manages the account and authorises operators. The Platform may limit the number of operators per restaurant. Operators access the account only through their own credentials and assigned permissions. Owners must promptly remove access for operators no longer authorised, review permissions, and supervise their use. Operators must use the Platform only for authorised restaurant activities. RESTRO-VENDS may suspend operator access when instructed by an authorised owner or when necessary for security or compliance. Operator access does not transfer ownership.
7. Unique Account Codes and Business Connections
RESTRO-VENDS may assign a unique account code to each eligible account to identify accounts and facilitate connections. Users must not impersonate another business, manipulate account codes, or gain unauthorised access. Adding a vendor or restaurant establishes a platform relationship only; it does not independently establish a supply contract, exclusivity, partnership, agency, or employment. The Platform may display limited business information to help users identify the correct account. Users are responsible for confirming the intended business. Duplicate connections may be prevented; removing a connection does not cancel existing orders, settle payments, or erase historical records. RESTRO-VENDS may restrict connections involving inactive, suspended, or ineligible accounts.
8. Products, Categories, and Inventory Information
Restaurants may create categories and add products, images, names, and measurement units. Vendors are responsible for accurate information about products they offer and availability they provide. Listings must be lawful, accurate, and not misleading. Users must not upload unlawful, infringing, fraudulent, or unauthorised content. Catalogue information does not by itself establish availability or guarantee delivery. Users must check specifications, quantities, units, quality, and other details before confirming a transaction. RESTRO-VENDS may remove or restrict violating content.
9. Order Placement and Vendor Selection
Restaurants may add products and quantities, select linked vendors, specify a required delivery date and time, and submit order requests. Where one eligible vendor is available, the Platform may assign automatically; where multiple are available, the restaurant must select the intended vendor. A submitted request is a request for fulfilment, not necessarily an accepted order until the vendor confirmation process completes. Restaurants must review quantities, units, vendors, deadlines, and notes before submission. Vendors must review incoming orders and communicate acceptance, rejection, availability, and revised commitments. Where items are assigned to different vendors, each may receive a separate request. A general note may be shared with all vendors; do not include unnecessary personal information, confidential information, passwords, or payment credentials in notes.
10. Order Acceptance, Availability, and Delivery
Vendors assess their stock, capacity, and ability to fulfil each order and must accurately communicate which items can be supplied, which are unavailable, and timing. A vendor may accept in full, reject, or confirm permitted items. Revised delivery commitments must be clearly recorded. The restaurant's requested date/time is a deadline, not a guarantee until accepted. Vendors must prepare and deliver accepted goods in accordance with commitments and law. Delivery statuses (preparing, out for delivery, delivered, pending) are operational records and do not independently prove goods were received correctly. Restaurants should inspect deliveries promptly and record shortages, damage, quality issues, and outstanding quantities. If only part of an order is delivered, delivered and outstanding quantities should be recorded separately. Parties resolve delivery disputes, shortages, substitutions, and complaints directly, subject to applicable law.
11. Payments Between Restaurants and Vendors
Unless expressly stated otherwise, RESTRO-VENDS facilitates ordering and record management and does not itself sell the supplies listed by vendors. Price, taxes, delivery charges, credit terms, deadlines, refunds, and settlement must be agreed by the parties. RESTRO-VENDS does not hold, transfer, or settle payments for goods unless a specific functionality and terms state otherwise. Parties are responsible for invoicing, tax, accounting, and food-safety requirements. Users must not misrepresent payments or facilitate unlawful financial activity.
12. Invoices and Business Records
The Platform may generate, display, or store order summaries, delivery records, and invoices based on user-supplied information. Users must review records for accuracy and report errors. A platform-generated summary is not necessarily a legally valid tax invoice. Vendors remain responsible for issuing valid invoices, charging taxes, and meeting statutory obligations. Restaurants remain responsible for reviewing and retaining records. RESTRO-VENDS does not guarantee user-supplied information is accurate or that a document satisfies all statutory requirements.
13. Subscriptions, Fees, and Billing
Certain features require a paid subscription. Current plans: Annual Plan ₹2,388 for twelve months (approx ₹199/month for comparison); Monthly Plan ₹499 per month. Final prices, taxes, inclusions, and billing periods are shown at checkout. Annual and monthly plans have different billing commitments. Payments may be processed via credit card, debit card, and UPI through the applicable provider. Users must provide accurate billing information. A subscription becomes active only after successful payment and applicable verification. Prices/plans may change prospectively with notice and not retroactively for a paid period. Renewal, auto-debit, cancellation, and expiry rules are disclosed at checkout. Unless a separate refund policy or law provides otherwise, fees for a commenced period are not automatically refundable. Failed/disputed/chargeback payments may cause suspension after review. Billing complaints must be submitted through the stated support channel.
14. Acceptable Use and Prohibited Activities
Users must not: use the Platform for unlawful activities or prohibited goods; submit false details, forged licences, or fraudulent information; impersonate another person or business; access accounts or systems without authorisation; interfere with security or operation; upload malicious code or reverse-engineer except where permitted; scrape or misuse data; send spam, threats, or abusive communications; misrepresent product, delivery, or invoice information; infringe intellectual property or privacy; circumvent subscription limits or access controls; manipulate order/delivery statuses to mislead; or use another user's credentials or OTP without authorisation.
15. Legal and Regulatory Compliance
Each business is responsible for complying with applicable laws including food safety, licensing, tax, consumer protection, employment, packaging, transport, and product-specific requirements. Restaurants must keep required FSSAI licence/registration valid. Vendors must maintain licences, standards, and permissions for goods supplied. The Platform does not replace regulatory approval, professional advice, or inspections. Users must update the Platform if a material licence expires or becomes invalid. RESTRO-VENDS may restrict activity on reasonable compliance concerns.
16. Intellectual Property
The RESTRO-VENDS name, logo, software, interface, design, code, and documentation are owned by or licensed to the Platform owner, except third-party materials and user content. Subject to these Terms and fees, RESTRO-VENDS grants a limited, non-exclusive, non-transferable, revocable right to use the Platform for authorised business purposes. Users retain ownership of content they submit and grant RESTRO-VENDS permission to host, store, process, display, and transmit it as necessary to operate and improve the Services. Users represent they have the needed rights. Users must not copy, resell, or commercially exploit Platform materials without authorisation.
17. Privacy and Data Protection
RESTRO-VENDS processes personal and business information in accordance with its Privacy Policy and applicable data-protection laws. Information may include names, mobile numbers, emails, addresses, account codes, verification records, licence documents, order details, invoices, operator records, and security logs. Users must have authority to submit information relating to others. RESTRO-VENDS may use service providers for hosting, authentication, OTP, payments, communications, and security. Users should not submit unnecessary personal or confidential information. Data access, correction, and complaints are handled per the Privacy Policy and law.
18. Third-Party Services
The Platform may integrate with payment gateways, SMS/OTP providers, hosting, analytics, and email services with their own terms and policies. RESTRO-VENDS is not responsible for independent acts of third parties beyond its obligations under law. Third-party outages may affect some functions; RESTRO-VENDS will take reasonable steps within its control.
19. Availability, Maintenance, and Changes
RESTRO-VENDS aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. The Platform may be unavailable due to maintenance, upgrades, incidents, or third-party outages. RESTRO-VENDS may modify, add, or discontinue features subject to law and commitments. Material changes affecting paid features will be communicated where required. Users should maintain their own business records.
20. Suspension and Account Termination
Users may request account closure, subject to outstanding obligations and retention requirements. RESTRO-VENDS may suspend or terminate access for fraud, unlawful activity, material breach, security risks, false documents, non-payment, or misuse. Where practicable and lawful, notice and an opportunity to correct will be provided. Termination does not cancel outstanding obligations between parties. Historical records may be retained as required by law or for dispute resolution. Deletion of personal information follows the Privacy Policy and law. Provisions meant to survive termination continue to apply.
21. Disclaimers
RESTRO-VENDS provides software and operational tools. Unless expressly agreed in writing, it is not the seller, manufacturer, food processor, transporter, or purchaser of goods exchanged. RESTRO-VENDS does not independently guarantee quality, freshness, authenticity, quantity, safety, legality, availability, delivery timing, or a vendor's financial capacity. Verification and statuses are not an unconditional endorsement. Users must exercise their own judgment. Nothing excludes warranties or remedies that cannot lawfully be excluded.
22. Limitation of Liability
To the maximum extent permitted by law, RESTRO-VENDS is not liable for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, business opportunities, goodwill, or interruption. RESTRO-VENDS is not responsible for disputes arising from goods supplied directly between users. It is not liable for losses caused by inaccurate user information, unauthorised access from a user's failure to protect credentials, or third-party failures beyond reasonable control, except where liability arises from its own breach of law. Nothing limits liability where prohibited by law. Any monetary cap must be reviewed by legal counsel before publication.
23. Indemnity
To the extent permitted by law, users are responsible for claims, losses, and reasonable costs arising from their unlawful conduct, material breach, infringement of third-party rights, fraudulent submissions, or transactions with other users. This does not require indemnifying RESTRO-VENDS for losses caused by its own unlawful conduct.
24. Force Majeure
RESTRO-VENDS is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, network failures, government restrictions, civil disturbances, war, epidemics, or major infrastructure failures.
25. Grievances and Customer Support
For account, subscription, technical, or privacy complaints, contact akshaypa840@gmail.com with subject "RESTRO-VENDS Grievance". Include your account code, order reference, and a description. Do not include passwords or OTPs. We will handle complaints within timelines prescribed by law.
26. Governing Law and Disputes
These Terms are governed by the laws of India. Parties will first attempt resolution through the grievance process. Unresolved disputes may be submitted to the competent courts/forum under Indian law. Proposed jurisdiction, subject to legal review: Belagavi, Karnataka, India.
27. Changes to These Terms
RESTRO-VENDS may update these Terms to reflect changes in the Services, operations, security, or law. The updated version displays its effective date. Material changes will be communicated where required. Continued use after an update may constitute acceptance where permitted by law.
28. General Provisions
If any provision is invalid, the remainder continues to apply. A failure to enforce immediately is not a permanent waiver. Users may not transfer their account without authorisation. These Terms, the Privacy Policy, and applicable subscription terms form the agreement. Where a translation conflicts, the specified controlling version applies.
